Chair of the KHPG Council
General
1. This document covers cases when the Director cannot make decisions without approval of the Council. It adds documents “Job description for the position of Director” and “Rules (procedures) of the meetings of the KHPG Board”.
2. The Director should ensure decisions of the KHPG Council and the General Assembly. However, he bases on:
- Basic directions of activities of the Group approved by the Council and confirmed by the General assembly;
- The strategic plan of the organisation considered by the Council and approved by the General assembly;
- The financial plan of the Group considered by the Council and approved by the General assembly;
- Annual working plan and annual budget of the Group considered by the Council and approved by the General assembly;
- Implementation plans and budgets of the approved projects;
- Job description of Director, approved by the KHPG Council;
- KHPG Statute and acting legislation of Ukraine.
Financial restrictions
3. The Director is in charge of concluding in the Group’s name without power of attorney any agreements, contracts. However where the amount exceeds one million UAH, the Director may sign agreements on behalf of the Group solely with the agreement of the Group’s Council.
4. The Director has the authority to make any decision within the approved budget of each project.
5. The Director has to coordinate with the Council any costs of amount over 10 000 (ten thousand) UAH, if these costs are not defined by budgets for approved projects.
6. The Director will identify and submit proposals to the Council where amendments in budgets or working plans have a significant impact. The Council will approve of these amendments
7. The Director cannot approve any financial decisions that affect him personally (for example, determine the amount of wages or other remuneration, etc.). Such decisions should be made solely by the Council of the Group.
Human resource management
8. The Director prepares the structure of the staff team and realises recruitment of new posts. The Council approves overall staff terms and conditions of employment (and significant changes thereto) and new posts.
9. The Director has to compile a list of lawyers with information about their professional ability and experience, with which will be entered into agreements on representation of interests of victims of human rights violations in the courts and other state and municipal authorities. This list must be approved by the Council at its assembly. The Director has to update and re-approve the list every two years.
10. If it is impossible to hold a tender for the selection of expert due to lack even the minimum number of capable experts, the Director has to coordinate the involvement of expert with the Council. The Council will approve the decision on involvement of expert at its assembly.
External communication
11. The Director prepares a communication plan. The Council considers and approves this plan.
12. The Director submits prepared publicity materials to the Chair of the Council for approval where it has public, political or reputation significance.
Fundraising
13. The Director prepares fundraising strategy together with fundraiser. The Council considers and approves this strategy.
Risk management
14. The Director maintains a system of internal control and prepares a risk management strategy. The Council considers minutes of audit commission and approves the risk management strategy.
